Describe any potential conflicts of interest, such as a
director who is also the owner of one your supplier or director or owner of any
other companies in similar business. Describe any transactions with the
management in which it has sold something to the company for a price that may or
may not be reasonable.
If you do not reveal conflicts of interest and the Venture
Capitalist uncovers them, you lose credibility instantly. It is better to meet
this problem head on and reveal it to the Venture Capitalist at the outset. Show
how the company is better off by being involved in a potentially conflicting
situation than it would be otherwise.
